Terms of Service

1. Acceptance of Terms

By downloading, installing, activating, or using RealtyWP CRM (the "Plugin"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Plugin.

These Terms apply to all versions of the Plugin, including the Free tier and all Pro plan tiers (Solo Agent, Brokerage, and Agency). Use of the Managed CRM service offered by DenniDigital is subject to additional terms set out in Section 8.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

"Plugin"

The RealtyWP CRM WordPress plugin, including all files, code, assets, documentation, and updates distributed under these Terms.

"Free Tier"

The GPL-licensed version of the Plugin available at no cost, with core CRM features as defined on the pricing page.

"Pro License"

A paid annual license (Solo Agent, Brokerage, or Agency tier) that unlocks Pro features and provides support entitlement as described on the pricing page.

"License Key"

A unique alphanumeric key issued upon purchase that activates Pro features on a permitted number of WordPress sites.

"Managed CRM"

The hosted, fully managed CRM service operated by DenniDigital, where the Plugin is pre-installed on infrastructure maintained by DenniDigital on the User's behalf.

"Site"

A single WordPress installation on a single domain or subdomain on which the Plugin is activated.

3. License Grant

3.1 Free Tier — GPL License

The core Plugin is distributed under the GNU General Public License version 2 (or any later version) ("GPL"). In accordance with the GPL, you are free to install, use, modify, and redistribute the Plugin on any number of sites at no cost. The GPL license is independent of these Terms and is not limited by them.

3.2 Pro License

Upon purchase of a Pro License and payment of the applicable annual fee, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Activate and use Pro features on the number of Sites permitted by your plan (1 Site for Solo Agent, 5 Sites for Brokerage, 50 Sites for Agency).
• Receive plugin updates and security patches for the duration of your active subscription.
• Access technical support as defined by your plan tier.

Pro features are delivered as additional code that runs alongside the GPL core. The Pro feature code is proprietary and is licensed, not sold, to you. The GPL does not grant rights to Pro feature code beyond the scope of these Terms.

3.3 Agency White-Label License

Agency plan holders may rebrand the Plugin interface for their clients under a white-label arrangement. White-label rights do not constitute ownership of the Plugin or its trademarks, and do not permit resale or redistribution of the Plugin itself.

4. Restrictions

With respect to Pro feature code, you may not:

• Share, redistribute, resell, sublicense, or transfer your License Key or Pro feature access to any third party.
• Use a single License Key on more Sites than permitted by your plan.
• Attempt to circumvent, disable, or reverse-engineer the license activation or feature-gating mechanism.
• Use the Plugin in any way that violates applicable law, regulation, or third-party rights.
• Claim ownership of the Plugin or represent to others that you created the Plugin.

These restrictions apply only to the proprietary Pro feature code. They do not restrict any rights granted by the GPL for the core Plugin.

5. License Keys & Activation

A License Key is issued per purchase and is linked to your account. License Keys may not be shared or transferred. If you sell or transfer ownership of a WordPress site on which the Plugin is activated, you must deactivate the License Key from that site before the transfer.

The Plugin may communicate with our licensing server to validate your License Key and deliver updates. This communication involves sending your site URL, WordPress version, and Plugin version. No personal data beyond what is necessary for license validation is collected. See our Privacy Policy for details.

We reserve the right to revoke a License Key found to be in violation of these Terms without refund.

6. Updates & Support

6.1 Updates

Pro License holders receive plugin updates — including new features, security patches, and bug fixes — for the duration of their active subscription. Updates are delivered via the standard WordPress update mechanism. Upon subscription expiry, the Plugin continues to function, but you will no longer receive updates or support until the subscription is renewed.

6.2 Support

Support entitlements vary by plan:

• Free: Community support via the documentation and FAQ only. No guaranteed response time.
• Solo Agent: Priority email support with best-effort response times.
• Brokerage: Premium email support with 24-hour response time on business days.
• Agency: Same-day priority support with dedicated onboarding assistance.

Support covers installation, configuration, and bugs arising from the Plugin operating as documented. It does not cover issues caused by third-party plugins, custom code, or hosting environments that do not meet the minimum requirements.

7. Payment & Refunds

7.1 Fees

Pro License fees are billed annually and are stated in USD on the pricing page. Fees are subject to change; any change will be notified at least 30 days before taking effect and will apply only at the next renewal.

7.2 Auto-Renewal

Subscriptions renew automatically on the anniversary of the purchase date. You will receive a reminder email before renewal. You may cancel auto-renewal at any time from your account dashboard; cancellation takes effect at the end of the current billing period and no further charges are made.

7.3 Refunds

We offer a 30-day money-back guarantee on all Pro License purchases. If you are not satisfied for any reason, contact us within 30 days of the original purchase date for a full refund. Refunds are not available after 30 days or on renewal charges where the license has been in active use.

7.4 Taxes

Prices are exclusive of any applicable taxes (VAT, GST, sales tax, etc.). You are responsible for any such taxes levied on purchases made in your jurisdiction. Where required by law, taxes will be calculated and added at checkout.

8. Managed CRM Service

The Managed CRM service is operated independently by DenniDigital (DenniDigital.com). It is a separate, hosted offering where DenniDigital provisions and maintains a WordPress environment with RealtyWP CRM pre-installed on your behalf.

Use of the Managed CRM service is governed by a separate agreement between you and DenniDigital. These Terms do not govern the Managed CRM service except with respect to the Plugin itself. DenniDigital is solely responsible for the hosting infrastructure, uptime, backups, and support for the Managed CRM.

Managed CRM plans include a monthly subscription fee payable to DenniDigital. Cancellation terms, refund policies, and SLAs for the Managed CRM are set by DenniDigital and are available on their website.

9. Intellectual Property

The Plugin, including all Pro feature code, design, documentation, and associated materials, is owned by DenniDigital and protected by copyright and other intellectual property laws. These Terms do not transfer any ownership interest to you.

The "RealtyWP CRM" name, logo, and associated marks are trademarks of DenniDigital. You may not use these marks in any way that implies endorsement or affiliation without prior written consent.

Nothing in these Terms restricts rights granted by the GPL for the core Plugin code. GPL rights are governed solely by the GPL license text.

10. Your Data

RealtyWP CRM is a self-hosted plugin. All CRM data — leads, contacts, deals, properties, communications, and activity records — is stored in your own WordPress database on your own hosting environment. We do not have access to, and do not store, your CRM data.

You are solely responsible for the security, backup, and legal compliance of data stored in your WordPress installation, including compliance with applicable data protection laws (GDPR, CCPA, etc.) regarding personal data of your contacts and clients.

Information we collect through the licensing system (site URL, Plugin version, purchase email) is handled as described in our Privacy Policy.

11. Disclaimer of Warranties

THE PLUGIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Plugin will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the Plugin will meet your specific requirements or that defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties. If applicable law requires any warranties with respect to the Plugin, all such warranties are limited in duration to thirty (30) days from the date of purchase.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DENNIDIGITAL, ITS DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLUGIN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLUGIN SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PLUGIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

These limitations apply regardless of the legal theory under which such damages are sought and even if a limited remedy fails of its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless DenniDigital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Plugin in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your handling of personal data of third parties in breach of applicable data protection law.
• Any misrepresentation you make to a third party regarding the Plugin.

14. Termination

You may terminate these Terms at any time by ceasing all use of the Plugin and deleting all copies from your sites. Cancelling your Pro subscription does not require you to uninstall the Plugin; the Free Tier continues to function under the GPL.

We may terminate or suspend your Pro License immediately, without notice, if you materially breach these Terms — including but not limited to sharing License Keys, circumventing feature gates, or misusing support resources. In the event of termination for cause, no refund will be issued.

Sections 9 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive termination of these Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or related to these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration or, where arbitration is not available, to the courts of competent jurisdiction.

Nothing in this section prevents either party from seeking injunctive or other equitable relief for breach or threatened breach of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify active Pro License holders by email at least 14 days before the changes take effect.

Your continued use of the Plugin after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of Pro features; the GPL-licensed Free Tier may continue to be used under the GPL regardless.
